Terms of sale and licence
Last updated Oct. 18, 2026
1. Who you deal with
These terms are the agreement between you and Loheden AI Solutions AB, a Swedish company ("we", "us"), about buying and using Prokoll, the meeting notes app for the Mac. They cover the purchase, the licence and the use of Prokoll.
You pay through Link, a service of Stripe, which takes the payment as the merchant of record and sends you the receipt. Link's own terms for purchases apply to the payment. The licence, and everything else in these terms, is between you and us.
When you buy, you say whether you buy as a private person or as a business. Some parts of these terms apply only to one of them, and say so; everything else applies to both.
2. What you buy
A licence to use Prokoll, for one person, active on one Mac at a time. It has no end date. A company buys one licence for each person who uses Prokoll.
Your licence includes every update to Prokoll that we release, at no extra cost. We decide what an update contains and when it is released, and we do not promise any particular update or feature, or that Prokoll will run on future versions of macOS. A newer version may need a newer Mac or a newer macOS; the version you already have keeps working on your Mac. If you buy as a private person, you also get the updates the law requires, for as long as you can reasonably expect them.
Prokoll needs a Mac with Apple silicon, 16 GB of memory and a recent macOS, as the website says when you buy. Check that your Mac has them before you buy.
You can move your licence to another Mac yourself, from that Mac: we email a code to the address you bought with. The Mac it leaves stops making new recordings and keeps every meeting. A licence can move 3 times in 12 months; for more, write to us.
You may pass your licence on to someone else once, as a whole. Write to us from the address you bought with: we issue a new key to the new owner, and yours stops working.
If we offer a trial, Prokoll shows how long it lasts. When it ends, Prokoll stops making new recordings, and every meeting stays open, searchable and exportable.
The pictures and clips on our website show Prokoll with sample meetings.
3. Price and payment
The price is shown on our pricing page in your currency, and the checkout shows the final amount before you pay. In the EU, the United Kingdom, Norway, Iceland, Liechtenstein, Switzerland, Australia and Japan the price includes VAT, GST or consumption tax; if you buy as a business and no tax is charged, the total stays the same. Everywhere else the price is shown without tax, and any tax is added at checkout.
You pay once. Nothing renews, and you will not be charged again for this licence.
4. Delivery and the right of withdrawal
We deliver your licence at once: on the page you see after paying, and by email.
If you buy as a private person and the line under the buy button says so, you ask us before paying to deliver the licence at once, and you acknowledge that your right of withdrawal then ends. The email with your licence confirms both. Where the law of the country you live in gives a right to withdraw from a purchase of digital content, that right ends when the licence is delivered in this way.
If your right of withdrawal has not ended, for example because our email never reached you, because the line under the buy button was not shown to you, or because your law keeps the right after delivery, you can withdraw within the period your law sets: 14 days from the purchase in the EU, the EEA and the United Kingdom, and 7 days in Brazil. Use the function on your licence page, which "Send my licence again" on our website sends you, or tell us in another clear way, for example with the form below. You get the full amount back, and the licence ends.
These terms do not give a right of withdrawal where your own law does not give one.

(*) Delete as appropriate.
5. Refunds
Beyond what the law gives you, a refund is at our discretion. Link may also refund a purchase under its own terms. A full refund ends the licence; a partial refund does not.
6. Using Prokoll
You may install and use Prokoll on the Mac where your licence is active, make backup copies of it, and do what the law always allows a lawful user of a program, such as studying how it works.
You may not share your key or let others use your licence, copy Prokoll for others, get round the licence check, or remove the notices of copyright and licences in it.
Prokoll contains software and other parts made by others, each under its own licence; their notices are in the app. Those licences apply to those parts.
Recording people
You decide what you record, and you are responsible for it. Tell the people you record and, where the law requires it, get their consent. Under data protection law you are responsible for the meetings you record and what you do with them; we never receive them. If you buy as a business, you cover our costs if someone claims against us because of a recording you made unlawfully.
What the software writes
Transcripts, speaker names, notes and summaries are written by software on your Mac and can be wrong or incomplete: words, names, numbers, who said what. Check them before you rely on them or share them, and never use them as the only basis for a decision about someone's health, legal position or money.
Your meetings
Your meetings are kept on your Mac, encrypted, and never reach us. We cannot read them, recover them or restore them, so keep backups of your Mac.
7. When a licence ends
We may end your licence if it was bought by fraud, if you share or sell copies of your key or get round the licence check, or if the payment is reversed: a full refund, or a payment dispute decided against us. A licence that has ended no longer makes new recordings. Your meetings stay on your Mac, to open, search, export and delete.
8. Defects and warranty
If you buy as a private person, you have the rights the law of your country gives you if Prokoll is defective, and nothing in these terms limits them. Under Swedish law you can complain about a defect for three years from delivery; complain within two months of noticing it. Because transcripts and notes are written by software, a mistake of the kind described in section 6 is not in itself a defect.
If you buy as a business, or as a private person outside the EU, the EEA, Switzerland and the United Kingdom, Prokoll is provided as is. To the extent the law allows, we give no warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, and we do not warrant that Prokoll will work without interruption or error.
9. Liability
If you buy as a business, our total liability under these terms is limited to the amount you paid for the licence, and we are not liable for indirect loss, lost profit, lost data or loss of business. Any claim must be made within one year of when you knew or should have known of it.
If you buy as a private person, we are liable as the law of your country provides. We are not liable for loss in a business activity, such as lost income, when you use Prokoll for your work.
Nothing in these terms limits liability for loss we cause intentionally or through gross negligence, or any liability the law does not allow us to limit, and nothing in them takes away a right that the law gives you as a consumer.
10. Changes to these terms
The version you accepted when you bought governs your licence. If we change these terms, the new version applies to purchases made after the change.
11. Law and courts
Swedish law applies to these terms and to your purchase, without the UN Convention on Contracts for the International Sale of Goods. If you buy as a private person, you also keep the protection that the mandatory rules of the law of the country you live in give you.
- If you buy as a business, disputes are settled only by the Swedish courts, with the district court where Loheden AI Solutions AB has its registered office as the first instance.
- If you buy as a private person living in Sweden, disputes are settled by the Swedish courts.
- If you buy as a private person living in another country of the EU or the EEA, in Switzerland or in the United Kingdom, you can bring a claim in the Swedish courts or in the courts of the country you live in, and we can bring a claim against you only in the courts of the country you live in.
- If you buy as a private person living anywhere else, disputes are settled only by the Swedish courts.
12. The rest
These terms and our privacy policy are the whole agreement between us about Prokoll. If a part of these terms is not valid, the rest still applies. We may transfer this agreement to a company that takes over Prokoll; if you are a private person, your rights stay the same. We are not responsible for a delay or failure caused by events beyond our reasonable control. We send notices to the email address you bought with.
These terms are written in English and translated into the other languages of our website. If you buy as a business and a translation differs from the English, the English applies.
